Directors Meeting Minutes

July 15, 2025

In attendance: President Ross Holloway, Vice President Larry Long, Secretary Ron Wright, Treasurer Tim Standeford, Director Daryl Swinney, and General Manager Herb Cook.

The meeting was called to order at 8:00 AM by Ross Holloway.  The Minutes of the Directors meeting held on June 17, 2025 were presented for review/approval.  Tim Standeford moved the minutes be approved as presented.  The motion was seconded by Daryl Swinney and carried unanimously.  Herb Cook gave the Treasurer’s Report.  Daryl Swinney made a motion to accept the Treasurer’s Report.  Tim Standeford seconded the motion and carried unanimously.  Herb Cook gave the Operation’s and Manager’s Report.  Larry Long made a motion to approve the Operation’s and Manager’s Report.  Ron Wright seconded the motion and carried unanimously.

Old Business

  1. New Water Treatment Plant:  Herb Cook reported to the Board that the asphalt has been laid and that the painters are working on finishing up.  Mitchell and Stark have started to build the maintenance building as well.
  2. Sunset Booster Upgrade:  Herb Cook reported to the Board that Berry Electric has tied over all wiring to the new pumps and that Mitchell and Stark done a cut and cap on the incoming side of old booster on July 6, 2025.  Herb also reported that the new booster is totally operational and some clean up work is left to be completed.

New Business

  1. 2025 Financial Audit of 2024:  Pershing and Company completed the financial audit of 2024.  The audit showed no reports of issues and the Board accepted the audit to be put on file.
  2. Soil Bores/Observatory Tank:  Banning Engineers submitted proposals from 2 soil boring companies for the new tank on Observatory Road.  Daryl Swinney made a motion to accept Patriot Engineers proposal for soil bore and testing and to pay for the work out of the construction funds.  Ron Wright seconded the motion and carried unanimously.
  3. Ashbury Ridge Master Meter:  Jaime Doughtery has been in contact with Ross Holloway about the billing of the master meter at Ashbury Ridge.  After much discussion, Daryl Swinney made a motion to table the subject until we obtain legal advice.  Larry Long seconded the motion and carried unanimously with Ross Holloway abstaining.

Construction

  1. Well Field Upgrade/Raw Water Lines:  Herb Cook reported to the Board that Berry Electric has completed wiring well #4 and the new back up generator has been delivered.  Bastin and Logan has received 2 good BacT samples from the new well and the new raw water mains have been being flushed up to the new water treatment plant.

With no other business to discuss, Tim Standeford moved for adjournment.  The motion received a second from Ron Wright and carried, unanimously.  The next monthly Director’s meeting will be Tuesday, August 19, 2025 at 8:00 AM.  The meeting was adjourned at 8:45 AM.
