In attendance: President Ross Holloway, Vice President Larry Long, Secretary Ron Wright, Treasurer Tim Standeford, Director Daryl Swinney, and General Manager Herb Cook.

The meeting was called to order at 8:00 AM by Ross Holloway.  The Minutes of the Directors meeting held on May 16, 2023 were presented for review/approval.  Ron Wright moved the minutes be approved as presented.  The motion was seconded by Larry Long and carried unanimously with Ross Holloway abstaining.  Herb Cook gave the Treasurer’s Report.  Tim Standeford made a motion to approve the Treasurer’s Report.  Larry Long seconded the motion and carried unanimously.  Herb Cook gave the Operation’s and Manager’s Report.  Ron Wright made a motion to approve the Operation’s and Manager’s Report.  Daryl Swinney seconded the motion and carried unanimously.

Old Business

  1. New Water Treatment Plant:  Herb Cook reported to the Board that IDEM approved the sanitary sewer permits for the new water treatment plant.   Also, Herb noted that Banning Engineering needed to complete a new Asset Management Plan (AMP) to submit to IDEM.  After discussions, Daryl Swinney made a motion to have Banning Engineering to complete the AMP for IDEM. Tim Standeford seconded the motion and carried unanimously.
  2. Krohn and Associates:  Herb reported to the Board that Krohn and Associates is still working with First Merchants Bank on the financing of the new water plant.  Corby Thompson with Krohn and Associates stated that First Financial Bank out of Terre Haute may be interested in financing and would give Corby a final answer with a week of the Board meeting today.
  3. New Checking Account:  Herb reported to the Board that the new checking account for writing customer refund checks has been set up and is ready for use.

New Business

  1. Cybersecurity:  Herb Cook reported to the Board that IDEM is requiring a cybersecurity plan to approve the permits for the new water treatment plant.  After discussions, the Board asked Herb to purchase a fire wall system for the internet and if there were going to be more costs incurred to get a cybersecurity plan in place to get quotes from companies on the pricing.

With no other business to discuss, Tim Standeford moved for adjournment.  The motion received a second from Daryl Swinney and carried, unanimously.  The next monthly Directors meeting will be Tuesday, July 18, 2023 at 8:00 AM.  The meeting adjourned at 8:43 AM.
